1. Nature of RadiaTrade Services

RadiaTrade AI LLC (“RadiaTrade,” “we,” “us”) operates a software-as-a-service (SaaS) platform that currently provides paper trading, analytics, and risk controls, plus eligibility-gated automated Kraken spot execution. Order-specific Signals execution is not currently available.

RadiaTrade does not currently hold registrations or licenses as:

• a broker-dealer;
• an investment adviser;
• a money services business or money transmitter; or
• a futures commission merchant, commodity trading advisor, or commodity pool operator.

RadiaTrade is designed not to custody customer funds or digital assets and does not undertake to act as a customer fiduciary. Regulatory treatment depends on actual facts and conduct, not labels alone. See the Compliance Framework for the current product perimeter and controls.

2. $RTC Token: Not Currently Available

$RTC is disabled and is not part of the current service. It is not available for purchase, sale, distribution, use, wallet verification, or software access. Nothing on this website is an offer to sell or a solicitation to buy a token.

2.1 Founding Member Program

RadiaTrade offers a “Founding Member” designation to AI subscribers. Founding Member benefits may include early priority for a future $RTC software-access rollout and tiered recognition based on subscription duration. These are subscription perks only. They do not constitute securities, equity interests, profit-sharing arrangements, investment contracts, or ownership interests of any kind. RadiaTrade makes no guarantee that $RTC will launch, that the planned $250 holding threshold or pricing methodology will remain unchanged, or that any Founding Member benefit will be realized.

3. Current Service: No Pooled Funds or Collective Management

The current RadiaTrade AI trading service is free software-as-a-service (SaaS) access. RadiaTrade does not pool, custody, hold, or manage user funds in any capacity.

• Each user connects their own individual exchange account via API
• Users maintain full custody and control of their assets at all times
• Trades are executed in the user’s own exchange account, not in a shared pool
• There is no common enterprise, shared capital, or collective arrangement of any kind
• Trading results are individual to each user and depend on their own capital, exchange, timing, and market conditions
• Customers must configure API credentials without withdrawal, transfer, funding, or administration permissions

4. No Investment Advice

Nothing on this website, in our platform, or in any communication from RadiaTrade constitutes investment advice, financial advice, trading advice, tax advice, or legal advice.

RadiaTrade does not recommend that any cryptocurrency, token, or digital asset should be bought, sold, or held. All AI-generated trading signals, analytics, and automated actions are informational software outputs. They are not personalized recommendations. Users are solely responsible for their own trading and investment decisions.

We strongly recommend consulting with a qualified, independent financial advisor, tax professional, and/or legal counsel before using the RadiaTrade platform or making any trading decisions.

5. Risk Disclosure

CRYPTOCURRENCY TRADING INVOLVES SUBSTANTIAL RISK OF LOSS.

• The value of cryptocurrency assets is extremely volatile and may go to zero
• You may lose some or all of the funds in your connected exchange account
• Automated trading systems, including AI-driven systems, carry risks including software errors, delayed or incorrect market data, unforeseen market conditions, exchange outages, and connectivity failures
• Past performance of the AI system does not guarantee or predict future results
• Historical backtesting data and performance metrics are for informational purposes only and do not constitute guarantees
• No trading strategy, algorithm, or AI system can guarantee profits or prevent losses
• You should only trade with funds you can afford to lose entirely

6. Regulatory Status

RadiaTrade operates as a software technology company providing automated trading tools. We do not currently hold registrations or licenses as a broker-dealer, investment adviser, commodity trading advisor, or similar regulated entity. This statement describes current registration status; it is not a universal legal conclusion or a representation that registration can never be required.

The regulatory landscape for cryptocurrency, digital assets, and blockchain technology is evolving rapidly. Users are solely responsible for:

• Determining whether using RadiaTrade is lawful in their jurisdiction
• Complying with all applicable local, state, national, and international laws
• Understanding and fulfilling any tax obligations arising from their trading activity
• Ensuring they are not subject to sanctions or located in restricted jurisdictions

RadiaTrade reserves the right to restrict, modify, or discontinue services in any jurisdiction as required by law or regulation.

7. No Guarantees of Performance

RADIATRADE MAKES NO WARRANTY, GUARANTEE, OR REPRESENTATION THAT:

• The AI trading system will generate profits, avoid losses, or achieve any particular financial result
• The platform will be uninterrupted, error-free, or secure
• $RTC tokens will have or maintain any particular value
• Any specific trading strategy will perform in the future as it has historically

8. Third-Party Services

Current customer-authorized Auto execution is supported through Kraken for eligible accounts and jurisdictions. RadiaTrade is not affiliated with, endorsed by, or responsible for Kraken or any other third-party service. Your use of an exchange is governed by that exchange’s own terms of service. RadiaTrade is not liable for exchange outages, insolvencies, data breaches, or policy changes. The presence of code, data, or a named integration for another provider does not mean that provider is currently available for customer Auto execution.
